Purpose of the Job
To provide Company Secretariat services to companies within the Engen Group, provide technical expertise and Company secretarial support services and act as Company Secretary to Namibia, Botswana, Mauritius, Enpet Africa Insurance, Citycat, Imtrasel, and any other smaller companies requiring such services to ensure statutory compliance and governance are in place and adhered to, Statutory returns lodged with the registrar of companies and vital records are maintained and that Engen complies with all statutory and regulatory requirements in the relevant jurisdictions, thereby contributing to the effective overall administration of the company

What you’ll have done before:
Baseline:
• NQF Level 7 (Degree in Law or Commerce)
• 8 years Company Secretarial experience
• Business Administration experience
• Experience in a Finance environment

What you’ll be doing:
STATUTORY COMPLIANCE MANAGEMENT:
• To manage, drive, and oversee the execution of all requirements relating to the company secretary universe
• Manage and oversee the maintenance of the corporate structure.
• Execute all actions with regard to the implementation of the Companies Act and any other legislation in the various jurisdictions
CORPORATE GOVERNANCE:
• Assist in the development and implementation of corporate governance framework.
• Assist the company secretariat in driving the role of the Company Secretariat as a corner stone in the risk management process of the group.
• Devise and develop a mechanism that eliminates any deviations from the stipulations of the Companies Act and any other governance practice.
• Provide corporate governance input pertaining to mergers and acquisitions. Includes confirming the status of shareholding, and conducting corporate governance risk analyses
ADMINISTRATION:
• Coordinate the operation of the Group’s formal decision making and reporting processes (delegations of authority) to ensure company-wide
• standard Communication & Information systems management including providing assistance to the Company Secretary in planning, developing, managing and maintaining various registers/data bases of information of the group.
• Provide direction and back up on statutory matters to the rest of the team.
• Providing advice to various Boards on matters relating to Delegations of
COMPANY SECRETARIAL RECORDS AND SYSTEMS MANAGEMENT:
• Ensure up to date company secretarial /statutory records meeting all legal statutory requirements
COST CONTROL AND BUDGET MANAGEMENT:
• Annual input into Legal Divisional OPEX business plan/budget
• Ensure accurate budget indicators are available
• Track monthly OPEX spend
• Monthly OPEX reports generated
• Manage cost control processes
• Report on budget variances
• Authorise expenditure within LOA
COMPLIANCE:
• Manage agenda items effectively
• Ensure Board management including delivering on quality induction for board and orientation programme for new directors.
• Manage records
• Submit statutory and annual returns
